      Article 1 — Definitions

      In these Terms, the following definitions apply:

      1.
      General Terms of Service: These Terms of Service defined in this document, also referred to as: 'These Terms'.
      2.
      ClipStudios.AI: An eenmanszaak registered at the Dutch Chamber of Commerce (Kamer van Koophandel) under registration number 98550500, established at Rentmeesterstraat 42, 1315 JS Almere, Flevoland, the Netherlands, also available at: https://clipstudios.ai.
      3.
      The Client: The natural person or legal entity which is party to the Agreement besides ClipStudios.AI.
      4.
      Services: All services as defined under these General Terms of Service.
      5.
      Subscription Tier: Any paid Services as defined under Article 6 of these Terms.
      6.
      The Online Platform: The AI-services platform as provided on any of the websites of ClipStudios.AI, primarily on https://clipstudios.ai.
      7.
      Agreement: The Agreement between the Client and ClipStudios.AI which serves as the foundation for the delivery and maintenance of Services provided to the Client under these General Terms of Service.

      Article 2 — Applicability and Interpretation

      1.
      These General Terms and Conditions apply and are part of any act with regards to the preparation, establishment, and performance of the Agreement.
      2.
      The applicability of any terms and conditions of the Client are explicitly excluded.
      3.
      Terms of the Client in any Agreement which deviate from These Terms shall only be applicable to the Agreement if such is explicitly and specifically stated in writing in the Agreement.
      4.
      In the situation that, besides These Terms, other terms from specific products and services are invoked, these terms shall likewise apply to the Agreement.

      Article 3 — Establishment of the Agreement

      1.
      The Client shall enter into a binding legal Agreement with ClipStudios.AI upon completing the registration on the website, or upon the provision of a signature on a written Agreement between the Client and ClipStudios.AI.
      2.
      The Client shall enter into a payment obligation upon signing up for one of the paid Subscription Tiers.
      3.
      If the Client constitutes a natural person, they must be at least 18 years of age and have the legal capacity to enter into the Agreement as well as These Terms.

      Article 4 — Performance of the Agreement

      1.
      ClipStudios.AI shall, after the establishment of the Agreement, start the performance of the Agreement on the date as defined in the written Agreement, or on first notice after receiving payment for any of the paid Subscription Tiers.
      2.
      If ClipStudios.AI is in any way hindered in its performance of the Agreement, it will inform the Client of the circumstances related thereto.
      3.
      The Client acknowledges that it has no authority to provide instructions as to the specifics of the performance of the Services provided under the Agreement.
      4.
      The Client is obliged to provide the necessary information and actions which ClipStudios.AI may need to perform its obligations under the Agreement. Particularly, the Client shall be obliged to provide the necessary data which ClipStudios.AI requires to fulfil its legally qualified obligations.
      5.
      If such is necessary for the performance of its obligations under the Agreement, ClipStudios.AI may employ, task or delegate tasks to third parties for the performance of those obligations. These third parties shall not be authorised to represent ClipStudios.AI in any capacity.
      6.
      ClipStudios.AI is not obliged to employ, task or delegate tasks to third parties if such are assigned by the Client.
      7.
      The Service and the Online Platform may generate inaccurate, misleading, or offensive content, including but not limited to hallucinations. By using the Service, the Client acknowledges that AI-generated content may contain factual errors, biases, or may result in inappropriate material. The Client is solely responsible for reviewing, verifying, and validating all AI-generated content before use, publication, or distribution. ClipStudios.AI provides no assurances or warranties regarding the accuracy, reliability, completeness, or appropriateness of AI-generated content. The Client bears all risks associated with the use of AI-generated content, including potential legal, reputational, or financial consequences. ClipStudios.AI shall not be liable for any damages arising from the Client's reliance on or use of AI-generated content. The Client must independently verify all AI-generated content for accuracy, appropriateness, and compliance with applicable laws before using it for any purpose.

      Article 5 — Termination of the Agreement

      1.
      The length of the Agreement shall be defined in the Agreement. Whenever no length of the Agreement is defined, the Agreement shall be established indefinitely based on monthly instalments.
      2.
      ClipStudios.AI is authorised to end the Agreement at any moment in the following circumstances:
      •
      The Client is in a state of bankruptcy;
      •
      The Client has violated any terms of the Agreement, or any terms as defined in this document;
      •
      The Client has violated the Acceptable Use Policy; or
      •
      The Client poses a security or legal risk to ClipStudios.AI or others.
      3.
      Obligations which, due to their nature, are required to be performed after the termination of the Agreement shall continue to apply to the parties of the Agreement or their legal successors.
      4.
      The Client may terminate the Agreement at any time. Cancellation stops future renewals, and the Client shall retain access to the Service until the end of the current paid period. Refunds are governed as follows:
      •
      14-day withdrawal: Within 14 days of purchase, EU consumers may withdraw for a full refund. This right is lost where the Client has expressly consented at checkout to the immediate performance of the Service and acknowledged the loss of the withdrawal right (Article 16(m) of the Consumer Rights Directive 2011/83/EU), and has begun using the Service. Refunds are issued within 14 calendar days of receipt of the withdrawal notice. Further detail is set out in the Refund Policy.
      •
      Monthly plans: after the withdrawal period, no refund is provided; access continues until the end of the paid month.
      •
      Annual or other fixed-term prepaid plans: the Client commits to the full term. After the 14-day withdrawal period, cancellation does not entitle the Client to a refund of the remaining unused portion of the prepaid term. The plan will not auto-renew after cancellation.
      •
      Top-up credits after cancellation: if the Client has unused purchased top-up credits at the time of cancellation, the Client's account remains active on the free tier so that those credits can be used until they are spent or reach their 12-month expiry, as set out in Article 6.8 and the Refund Policy.
      •
      After any initial fixed term, renewals are cancellable at any time with no more than one month's notice.
      5.
      Upon termination of the Service, access to the Service and the Online Platform shall cease immediately at the end of the current paid billing period. Data related to the account of the Client shall be removed after a reasonable period, though no more than 6 months, unless otherwise required by law.

      Article 6 — Prices, Payment and Subscription Tiers

      1.
      The Client shall pay ClipStudios.AI the sum as has been established in the Agreement and in a manner as defined in the Agreement. Prices shall be paid in the currency as chosen by ClipStudios.AI in the Agreement.
      2.
      All prices mentioned by ClipStudios.AI in binding offers and on the website shall include the applicable Value Added Tax (VAT) imposed by the applicable national authorities, unless otherwise explicitly and specifically stated.
      3.
      Payment shall be performed through a verified secure third-party payment processor, as defined under the Agreement.
      4.
      Every invoice shall have a maximum payment term of 30 days.
      5.
      In case the Client does not meet its payment obligations within the applicable payment term, ClipStudios.AI shall inform the Client of its payment obligations and provide the Client with a final term of 14 days to meet its obligations.
      6.
      If payment is not provided within the final term, ClipStudios.AI is authorised to cease the provision of any Services established under the Agreement, and shall be entitled to employ or task any collection agency to collect the Client's obligations. The Client shall be liable for any costs incurred by ClipStudios.AI in the collection of the Client's obligations, including but not limited to collection agency fees, costs of representation, costs of legal counsel, and other damages.
      7.
      The Online Platform shall offer multiple Subscription Tiers and credit allocations, the details of which are published on the ClipStudios.AI pricing page at https://clipstudios.ai/pricing. ClipStudios.AI reserves the right to update pricing and credit allocations at any time, with changes reflected on the pricing page.
      8.
      Generation of content using the Online Platform shall require credits. Credits shall be allocated on a monthly basis as defined under the applicable Subscription Tier and shall reset at the beginning of each billing period. Unused credits shall not transfer into the new month, unless explicitly and specifically stated in the feature set of the chosen Tier. Additional credits may be acquired through a separate Agreement. Credits are consumed in the following order: signup bonus credits, then subscription credits, then purchased top-up credits. Top-up credits purchased separately shall remain valid for 12 months from the date of purchase.

      Article 7 — Acceptable Use Policy

      1.
      ClipStudios.AI may issue an Acceptable Use Policy in addendum to These Terms which shall apply to any Agreement established under These Terms and which may limit the usage of the Service by the Client.
      2.
      The Service may at least be used for the following purposes:
      •
      Creating video content for personal or commercial projects;
      •
      Generating marketing and promotional materials; and
      •
      Producing educational or entertainment content.
      3.
      The Client may not use the Service to:
      •
      Generate content that is illegal, harmful, or violates third-party rights;
      •
      Create deepfakes or misleading content without proper disclosure;
      •
      Generate explicit, violent, or hateful content;
      •
      Harass, threaten, or abuse others;
      •
      Distribute malware or engage in phishing;
      •
      Generate content which classifies as misinformation;
      •
      Use the Service for any purpose which is prohibited or constitutes a high-risk AI system under the European AI Act (Regulation EU/2024/1689);
      •
      Generate content for political campaigning, lobbying, or electoral purposes;
      •
      Generate content for unsolicited commercial messaging, spam, or bulk solicitation;
      •
      Generate obscene or indecent content.
      4.
      The Client may not use any content generated by the Service for the purpose of: training, fine-tuning, or improving any artificial intelligence, machine learning, or neural-network models that compete with or replicate the Service; developing competing video generation platforms or AI models; creating datasets for AI model training that could be used to build competitive services; reverse engineering the AI models used by the Service, or their algorithms or methodologies; or extracting, scraping, or systematically downloading AI-generated outputs for model training purposes.
      5.
      ClipStudios.AI may review, flag, and remove content that violates this Article or any other part of These Terms. The Agreement may be dissolved or terminated for repeated violations.
      6.
      ClipStudios.AI may employ or task external organisations or automated tools to review content flagged by users or automated systems to ensure compliance with These Terms and the Agreement.
      7.
      ClipStudios.AI may cooperate with law enforcement and regulatory authorities as required by applicable law.
      8.
      The Service routes generation requests to third-party AI model providers, each of which maintains its own acceptable use terms. The Client is responsible for compliance with the terms of the model provider used for a given generation. Restrictions applicable to individual models are set out on the ClipStudios.AI model documentation pages. A model provider may reject or remove content under its own policies independently of ClipStudios.AI.

      Article 8 — Delivery of the Service

      1.
      The terms of delivery of the Service by ClipStudios.AI as defined under the Agreement shall be indicative and shall not apply as a binding fatal term, unless the parties have established such explicitly and specifically in writing under the Agreement.
      2.
      The delivery of the Service shall require the Client to sign up on the Online Platform and shall require the Client to provide accurate, complete, and current personal information.
      3.
      The Client shall likewise be responsible for:
      •
      Keeping and maintaining the security credentials of the user account on the Online Platform;
      •
      Notifying ClipStudios.AI with regards to any unauthorised use of the user account on the Online Platform;
      •
      Ensuring that the user account information on the Online Platform remains accurate and up-to-date; and
      •
      All activities that occur under their account.

      Article 9 — Intellectual Property Rights

      1.
      The Client shall retain ownership of the content that they provide to the Online Platform (text prompts, images, videos, etc.) and shall gain intellectual property rights for the content they generate using the Online Platform, if applicable under the laws of the relevant jurisdiction.
      2.
      The Client grants ClipStudios.AI a worldwide, non-exclusive, royalty-free licence to host, store, process, display, and transmit the content the Client provides to or generates on the Online Platform, solely as necessary to operate, provide, secure, and improve the Service — including transmitting inputs to third-party AI model providers that generate the Client's outputs. ClipStudios.AI does not use the Client's content or outputs to train artificial-intelligence models. ClipStudios.AI may use content generated on the Online Platform for marketing and promotional purposes; the Client may opt out of such marketing use at any time via account settings or by contacting support. This licence does not grant ClipStudios.AI the right to sell or transfer the Client's content to third parties for purposes unrelated to the Service.
      3.
      Content generated through the Online Platform shall belong to the Client, subject to These Terms. The Client shall bear responsibility and liability for ensuring that any content provided or generated does not infringe on any third-party rights. The Client must ensure that the content:
      •
      Complies with all applicable laws and regulations;
      •
      Does not violate third-party intellectual property rights;
      •
      Does not constitute deepfakes, fraud, identity theft, or any other prohibited practice under the European AI Act (Regulation EU/2024/1689) or other applicable legislation;
      •
      Includes the necessary legally mandated disclosures, consents, and attributions; and
      •
      Does not violate any fundamental rights of individuals, including but not limited to the right to privacy and those rights protected under the General Data Protection Regulation (GDPR) (Regulation EU/2016/679).
      4.
      The Service, the Online Platform, any software, algorithms, designs, trademarks, and branding shall be owned by ClipStudios.AI and protected under applicable intellectual property laws. The Client may not copy, modify, distribute, reverse engineer, or create derivative works without express consent explicitly and specifically provided in a written Agreement.

      Article 10 — AI Transparency and Content Provenance

      1.
      Content generated through the Online Platform is marked with C2PA Content Credentials, embedding machine-readable provenance metadata identifying the content as artificially generated, in support of the transparency obligations under Article 50 of the European AI Act (Regulation EU/2024/1689).
      2.
      The Client shall not remove, alter, or obscure Content Credentials or other provenance metadata from content generated through the Online Platform.
      3.
      Where the Client publishes or distributes content generated through the Online Platform that constitutes a deep fake within the meaning of Article 50(4) of the European AI Act, the Client is responsible for disclosing that the content has been artificially generated or manipulated.

      Article 11 — Addendum

      1.
      Usage of the Service shall also be subject to the terms of the Privacy Policy, available at https://clipstudios.ai/privacy.
      2.
      Usage of the Service shall also be subject to the Acceptable Use Policy as defined under Article 7 of these Terms.
      12

      Article 12 — Miscellaneous Terms

      1.
      These Terms shall be governed by and construed in accordance with the laws of the Kingdom of the Netherlands, without regard to conflict of law provisions.
      2.
      Any disputes that cannot be resolved informally shall be resolved through binding arbitration rather than in a court of law, except where such is prohibited by applicable law.
      3.
      If the Client has any issue with ClipStudios.AI regarding the Agreement, the parties are expected to make good faith efforts to resolve disputes amicably and, preferably, informally.
      4.
      To the extent permitted by applicable law, the Client and ClipStudios.AI agree that claims may only be brought in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative action or proceeding. The Client hereby waives any right to participate in or bring: class action lawsuits; class arbitrations; consolidated claims with other clients; representative actions on behalf of others; or private attorney general actions. This waiver shall apply unless prohibited by law in the applicable jurisdiction.
      13

      Article 13 — Warranties

      The Service is provided "as is" and "as available" without warranties of any kind, express or implied. ClipStudios.AI disclaims all warranties including:

      •

      Merchantability and fitness for a particular purpose;

      •

      Non-infringement of third-party rights;

      •

      Accuracy, reliability, or quality of generated content; and

      •

      Uninterrupted, error-free, or secure access.

      Article 14 — Limitation of Liability

      To the maximum extent permitted by law, ClipStudios.AI shall not be liable for:

      •

      Indirect, incidental, special, consequential, or punitive damages;

      •

      Loss of profits, revenue, data, or business opportunities;

      •

      Damages resulting from use or inability to use the Service;

      •

      Damages resulting from unauthorised access to the Client's account; or

      •

      Any amount exceeding the total fees paid by the Client to ClipStudios.AI in the twelve (12) months preceding the claim.

      Article 15 — Final Provision

      1.
      These Terms may be modified at any time by posting the updated General Terms and Conditions on the website of the Service. Material changes will be notified by email or in-app notification. Continued use of the Service after the changes shall constitute acceptance of the modified Terms. The Client reserves the right to reject these modifications and terminate the Service.
      2.
      These Terms, together with the Agreement, Privacy Policy, and Acceptable Use Policy, shall constitute the entire agreement between ClipStudios.AI and the Client regarding the Service.
